1. Acceptance of Terms
BY ACCESSING OR USING EABHA'S SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND ALL APPLICABLE LAWS AND REGULATIONS. If you do not agree with any of these terms, you are prohibited from using or accessing our services. Your continued use of the service constitutes acceptance of these terms and any modifications thereto.
2. Service Description
Eabha provides AI-powered receptionist services including but not limited to call handling, appointment booking, and customer interaction management. The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied.
3. No Warranties
EABHA MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Accuracy, reliability, or completeness of the AI service
- Uninterrupted or error-free operation
- Fitness for a particular purpose
- Non-infringement of third-party rights
- Merchantability or quality of service
- Accuracy of appointment bookings or information provided to callers
You acknowledge that AI technology may produce errors, inaccuracies, or unexpected results. You are solely responsible for verifying all information and appointments processed through our service.
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EABHA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute goods or services
- Business interruption or loss of goodwill
- Missed appointments or lost customers
- Errors or omissions in call handling
- Any damages arising from use or inability to use the service
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO EABHA IN THE 12 MONTHS PRECEDING THE CLAIM, OR €100, WHICHEVER IS LESS.
5. User Responsibilities
You agree to:
- Provide accurate and complete information
- Comply with all applicable laws and regulations, including call recording laws
- Obtain necessary consents from callers for call recording and AI processing
- Verify all appointments and information processed by our AI
- Not use the service for any unlawful or prohibited purposes
- Maintain the security of your account credentials
- Not attempt to reverse engineer, decompile, or extract the AI models
6. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS EABHA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, OBLIGATIONS, LOSSES, LIABILITIES, COSTS, DEBTS, AND EXPENSES (INCLUDING ATTORNEY'S FEES) arising from: (a) your use of the service; (b) your violation of these terms; (c) your violation of any third-party rights; (d) any content or data you provide; (e) missed appointments or business losses resulting from service use; (f) any legal claims from your callers or customers.
7. Payment Terms
The first month of service is free. After the trial period:
- Service fee: €100 per month
- Includes up to 5 hours of call time
- Payments are non-refundable
- You may cancel at any time, but no refunds will be issued for partial months
- We reserve the right to change pricing with 30 days notice
8. Service Availability
While we strive for high availability, we do not guarantee uninterrupted service. We may suspend or terminate service at any time for maintenance, upgrades, or any other reason. We are not liable for any downtime or service interruptions.
9. Data Usage and AI Training
By using our service, you grant Eabha a worldwide, royalty-free license to use, process, and analyze call data, recordings, and interactions to improve our AI models and services. This includes but is not limited to training machine learning models, quality assurance, and service optimization.
10. Termination
We reserve the right to terminate or suspend your access to our service immediately, without prior notice or liability, for any reason, including breach of these terms. Upon termination, your right to use the service will cease immediately. All provisions which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
11. Modifications to Service and Terms
We reserve the right to modify or discontinue the service, or these terms, at any time without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the service. Your continued use after changes constitutes acceptance of the modified terms.
12. Dispute Resolution and Arbitration
ANY DISPUTE ARISING FROM THESE TERMS OR USE OF THE SERVICE SHALL BE RESOLVED THROUGH BINDING ARBITRATION IN DUBLIN, IRELAND. You waive any right to a jury trial or to participate in a class action lawsuit. The arbitrator's decision shall be final and binding.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eabha regarding the use of our service, superseding any prior agreements.
